Consistent with our strategy, ChemoCentryx seeks to balance internal product development programs with the partnering of select compounds with leading pharmaceutical partners. We intend to retain significant rights to those therapeutic programs which address specialty market opportunities and partner those programs that address primary care markets. Working closely with our partners, we believe that we bring several fundamental assets and strengths, including our expertise in the field of chemokine biology and chemokine-based drug discovery and clinical development.

Our Strategic Alliance with GlaxoSmithKline

In August 2006, we entered into a strategic alliance with Glaxo Group, Ltd., or GSK, an affiliate of GlaxoSmithKline. Under the terms of the agreement, we are responsible for the discovery and development of small molecule antagonists targeting four defined chemokine and chemo-attractant receptor targets (CCR9, CCR1, C5aR and ChemR23) through clinical proof-of-concept, at which point GSK will have exclusive options to license up to six drug candidates (and their two defined backup compounds for each drug candidate) for further development and commercialization on a worldwide basis. The agreement encompasses Traficet-EN™, or CCX282, an anti-inflammatory small molecule therapeutic targeting CCR9; CCX354, targeting CCR1; CCX168, targeting chemo-attractant receptor, C5aR; and CCX832, targeting the chemo-attractant receptor, ChemR23.

The agreement encompasses Traficet-EN™, a specific CCR9 inhibitor that has been studied in our PROTECT-1 clinical trial of greater than 400 patients with moderate-to-severe Crohn's disease. GSK has exercised its option to obtain an exclusive license for further development and worldwide commercialization of Traficet-EN. In November 2011, GSK exercised its option to obtain an exclusive license to CCX354, our CCR1 inhibitor which has successfully completed a Phase II proof-of-concept clinical trial in 160 patients with moderate-to-severe rheumatoid arthritis. With respect to CCX354 GSK is now solely responsible for all further clinical development and commercialization expenditures worldwide.

Under the terms of the agreement, ChemoCentryx has received option exercise fees for Traficet-EN and for CCX354 and is eligible for further regulatory and sales milestone payments. Following successful development and commercialization of a given drug candidate ChemoCentryx will also receive double-digit royalties on net product sales. With respect to Traficet-EN ChemoCentryx has the ability to increase royalties by co-funding development through Phase III clinical trials and co-promoting to physician specialists in the United States.

Our proprietary programs around CCR2, CXCR7 or any other receptors are not part of the GSK collaboration.
